Terms of Service

These Terms of Service ("Terms") govern your use of services provided by Turnkey Web Tools Inc. ("TWT," "we," "us," or "our"), including web design, web development, hosting, and related services. By engaging our services, you agree to be bound by these Terms.

1. Services

TWT provides custom web design, web application development, eCommerce development, WordPress development, managed web hosting, and related digital services. The specific scope of services for each project is defined in a separate proposal or statement of work agreed upon by both parties.

2. Payment Terms

All projects require a deposit prior to commencement of work, as specified in the project proposal. Remaining balances are due upon milestones or project completion as outlined in your agreement. Invoices are due within 30 days of issuance unless otherwise stated. Overdue accounts may be subject to suspension of services.

All fees are non-refundable except as expressly stated in a signed agreement. TWT reserves the right to withhold deliverables until payment is received in full.

3. Client Responsibilities

You agree to provide timely feedback, content, and approvals required for project completion. Delays caused by failure to provide required materials may result in project timeline adjustments and additional fees. You represent that all content, images, and materials provided to TWT do not infringe upon any third-party intellectual property rights.

4. Intellectual Property

Upon receipt of full payment, you will own the final deliverables specific to your project. TWT retains ownership of any pre-existing tools, frameworks, libraries, and methodologies used in the development process. TWT reserves the right to display completed work in its portfolio unless otherwise agreed in writing.

5. Hosting Services

Managed hosting services are billed on a monthly or annual basis. TWT will make reasonable efforts to maintain uptime and security but does not guarantee uninterrupted service. Hosting accounts may be suspended for non-payment or violation of these Terms. You are responsible for maintaining backups of your data.

6. Limitation of Liability

TWT's total liability for any claim arising from services rendered shall not exceed the total fees paid for the specific service giving rise to the claim. TWT shall not be liable for any indirect, incidental, special, or consequential damages, including lost profits or data loss.

7. Warranties

TWT warrants that services will be performed in a professional and workmanlike manner. Except as expressly stated herein, all services are provided "as is" without warranty of any kind. TWT does not warrant that websites or applications will be free from errors or that they will meet your specific requirements beyond the agreed scope.

8. Termination

Either party may terminate an engagement with 30 days written notice. Upon termination, you are responsible for payment of all work completed to date. TWT reserves the right to terminate services immediately for non-payment or breach of these Terms.

9. Governing Law

These Terms are governed by the laws of the State of California. Any disputes shall be resolved in the courts of Riverside County, California.

10. Changes to Terms

TWT reserves the right to update these Terms at any time. Continued use of our services following notice of changes constitutes acceptance of the updated Terms.
